Welcome to Illumined Connections. Similar to other online communities, we encourage and require all participants to follow the rules and guidelines when using this site and the social networking software supported by Illumined Connections LLC ("Service Provider"). With this in mind, we require you to be civil, show respect for others when communicating and follow the rules outlined in these Terms of Service. If you do not follow the rules you may be suspended from using this service for 12 months or longer.

The following are key guidelines that we strongly emphasize. You will need to read the entire Terms of Service document for details and other requirements.

• Please keep your personal information private. Think before you post: It's smart and safer not to give out any more information than you actually need to share for your purpose.

• DO NOT POST any information, images, graphics or copyrighted material that you do not own. If such an event occurs, the individual posting the information shall be held solely responsible. Illumined Connections LLC is not responsible for posted information that may violate copyright law.

• THE FOLLOWING ARE NOT ALLOWED: profanity; pornography; ethnic, racial, religious, sexual or any other kinds of slurs; insults; "flaming," or even asterisks or symbols that take the place of letters.

• We reserve the right to prohibit or delete messages that are thought to violate applicable law or that may be harmful to others. That said, we do not have the practical ability to restrict conduct or communications that might violate our guidelines prior to transmission on the Internet, neither can we ensure prompt removal of offending posts.

• Do not pose or attempt to pose as someone other than yourself.

TERMS OF SERVICE

THIS IS AN AGREEMENT BETWEEN YOU AND ILLUMINED CONNECTIONS LLC. PLEASE READ THE FOLLOWING TERMS AND CONDITIONS CAREFULLY.

This agreement describes the terms on which you may access and use the SERVICE. In order to use the software and SERVICE, you must read and accept all of the terms and conditions of this agreement and the Privacy Policy as if you had signed it. If you do not agree to be bound by the terms, you may not use or access the SERVICE. Please close the IlluminedConnections.com Web site and do not further access or use the IlluminedConnections.com Web site. Thank you.

This agreement ("AGREEMENT") is between you ("USER") and IlluminedConnections.com. This AGREEMENT governs your use of any Web site or Web page operated by IlluminedConnections.com and the purchase of any product or service offered by IlluminedConnections.com.

ILLUMINEDCONNECTIONS.COM OFFERS THE ILLUMINEDCONNECTIONS.COM WEB SITES TO YOU CONDITIONED ON YOUR ACCEPTANCE WITHOUT MODIFICATION OF THIS AGREEMENT. YOUR USE OF THE ILLUMINEDCONNECTIONS.COM WEB SITES CONSTITUTES YOUR ACCEPTANCE OF THIS AGREEMENT.THIS AGREEMENT CONTAINS DISCLAIMERS OF WARRANTIES AND LIABILITY. THESE PROVISIONS FORM THE ESSENTIAL BASIS OF OUR AGREEMENT.

Illumined Connections LLC ("SERVICE PROVIDER" or "PROVIDER"), a Nevada Limited Liability company, provides a Web-hosted service ("SERVICE") to USERS who have agreed to the terms and conditions stated below.

We reserve the right to modify this Agreement at any time, and without prior notice, by posting amended terms on this Web site. Your continued use of the SERVICE indicates your acceptance of the User Agreement, as amended from time to time.

Definitions

• SERVICE means the services and functionality hosted by Illumined Connections and made available to you on or through the Illumined Connections interface, through which you may deploy, configure, customize, manage, administer, and control certain aspects of the Service.

• INTELLECTUAL PROPERTY RIGHTS means patent, copyright, trademark, servicemark, or trade secret rights.

• ILLUMINED CONNECTIONS IP means (i) all of Illumined Connections' proprietary technology (including, but not limited to, software, hardware, products, processes, algorithms, user interfaces, know-how, techniques, designs, and other tangible or intangible technical material or information) made available to you by Illumined Connections in providing the SERVICE; and (ii) all data, including text, audio, video, photos, software, written works of authorship, and any other materials which are distributed, performed, or displayed in connection with the USER SERVICE (excluding YOUR USER CONTENT).

• ILLUMINED CONNECTIONS SITE means the Illumined Connections Web site located at http://www.IlluminedConnections.com and any additional and/or successor URLs. · USER SERVICE means the services and functionality hosted by Illumined Connections and deployed by you on or through YOUR NETWORK(s) for use by YOUR USERS using the Administration Service.

• USER CONTENT means any content that is or was submitted by YOUR USERS on or through the USER SERVICE.

• USER DATA means all (i) registration data including user name, handle, password, mailing address, e-mail address, telephone number, facsimile number, and/or credit card information that is collected from YOUR USERS; (ii) all transaction data and history provided by, or obtained from, YOUR USERS that is collected from YOUR WEB SITE; and (iii) all demographic data, mailing lists, inquiry lists, buyers lists, and any other personally identifiable information and data provided by or obtained from YOUR USER that is collected from YOUR WEB SITE.

• YOUR USER means a user of YOUR NETWORK(S) who assents to your Terms of Use.

• YOUR NETWORK means a Web site NETWORK owned and/or controlled by you as identified in the affiliate registration process.

• MEMBERS means any member of any organization that has completed the Illumined Connections agreement form and who has individually agreed to the Illumined Connections registration process.

• MEMBER ORGANIZATION means any organization that has completed the Illumined Connections agreement form and has been approved to be an affiliate of Illumined Connections.

• ORGANIZATION NETWORK means the members of any single MEMBER ORGANIZATION

• MEGANETWORK means all the MEMBER ORGANIZATIONS and their members that are using the SERVICE of Illumined Connections.

Description of Service

The SERVICE is an online networking platform offered to enable organization MEMBERS to network personally and professionally with other MEMBERS through the PROVIDER'S suite of directories and services. Whether looking for a MEMBER business listing, a classified ad, or an activity partner, MEMBERS can make contact with other MEMBERS of the same organization at no charge. The SERVICE is a closed, private, and trusted community available only to MEMBERS approved by the SERVICE PROVIDER.

In addition, for a fee, MEMBERS will be given the opportunity to search, advertise and communicate with members of other organizations on an as-approved basis by both the PROVIDER and the individual MEMBER. No information will be shared outside of the current SERVICE without the approval and consent of both the PROVIDER and individual MEMBERS.

Membership Eligibility, License and Access

License to access the IlluminedConnections.com website or ORGANIZATION NETWORK(s) is forbidden to minors under the age of 13 except upon the express consent of their parent or legal guardian. That means if you are under 13, you need to ask your parent or legal guardian to let you access the IlluminedConnections.com SERVICE or any Illumined Connections' ORGANIZATION NETWORK before you enter the IlluminedConnections.com Web site. If you are under 13, your parents are legally responsible for your actions, so please do not access the IlluminedConnections.com Web site without their permission.

PARENTS AND GUARDIANS OF MINOR CHILDREN - DO NOT SKIP THIS SECTION:

• YOU ARE SOLELY RESPONSIBLE FOR THE ACTIONS OF YOUR MINOR ON THE ILLUMINEDCONNECTIONS.COM WEB SITE, AND ANY ORGANIZATION NETWORK OR SERVICE.

• PROVIDER DOES NOT CONTROL OR REPRESENT THE ACCURACY, TRUTHFULNESS, LEGALITY, OR SAFETY OF CONTENT POSTED ON THE SERVICE BY USERS. The user and/or their parent or legal guardian accepts sole responsibility for their own welfare through use or reliance upon content presented on or through the IlluminedConnections.com Web site as a condition PRIOR to any and all use or reliance.

• If a parent or guardian of a minor does not consent or agree to the access of their child or ward to services provided by or through the web site, it is your legal duty to restrict the minor's use and/or use internet browser blocking software on computers within your control to block access to your minor to prohibited websites.

• Access to information through your account: You may permit other members of your immediate family or household to access the SERVICE provided that each person abides by the terms and condition of this AGREEMENT. By permitting others to use your account, you assume all risk and liabilities resulting from their use. If you allow a minor to use your account, you are fully responsible for the online activity and conduct of the minor. You will be held responsible for any and all consequences of any misuse by your child. It is your responsibility to safeguard any personal identification number and password required to access the SERVICE. Your right to use your account is not assignable or transferrable.

Also, this service is not available to any MEMBER suspended or removed from the system by the PROVIDER for any reason. MEMBERS may not have more than one active account. Additionally, MEMBERS are prohibited from selling, trading, or otherwise transferring your SERVICE account to another party. If you do not qualify as a member (as determined by the PROVIDER), you may not use the SERVICE.

Use of Service

Your use of the SERVICE is governed by the Terms of Service. The PROVIDER may refuse service without prior notice to any MEMBER for any or no reason.

You are responsible for maintaining the confidentiality of your password and account, and are fully responsible for all activities, including all, direct and indirect damage that results for all actions by anyone who gains access to the Service using your password or account with or without your knowledge. If you knowingly provide your login and password information to another person, your account privileges may be suspended temporarily or permanently terminated. You agree to immediately notify SERVICE PROVIDER of any unauthorized use of your password or account or any other breach of security. The PROVIDER is not, under any circumstances, liable for any loss or damage arising from your failure to comply with this section.

Termination

You agree that the PROVIDER may, with or without cause, immediately terminate your SERVICE account and access to the SERVICE without prior notice. Without limiting the foregoing, the following will lead to a termination by PROVIDER of a MEMBER'S use of the SERVICE: (a) breaches or violations of this Terms of Service or other incorporated agreements or guidelines; (b) requests by law enforcement or other government agencies; (c) a request by you (self-initiated account deletions); (d) unexpected technical issues or problems; and (e) extended periods of inactivity. Termination of your SERVICE account includes (a) removal of access to all offerings within the SERVICE; (b) deletion of your password and all related information, files, and content associated with or inside your account (or any part thereof); and (c) barring further use of the SERVICE. Further, you agree that all terminations shall be made in PROVIDER'S sole discretion and that PROVIDER shall not be liable to you or any third-party for any damage caused by termination of your account or denial of access to the SERVICE.

Acceptable Use and Conduct

You are solely responsible for all communications, links, code, and content on the Illumined Connections SERVICE.

As a USER of Illumined Connections' free SERVICE, you agree not to include any advertising for anything other than your ORGANIZATION NETWORK, including ads served via an ad-server service such as Google AdSense, in any ORGANIZATION NETWORK, code, or content you provide on Illumined Connections.

Free Services

The primary services available to each MEMBER of each MEMBER ORGANIZATION are a Business Directory, Classified Ads and a Friend/Event Directory. These primary services are completely free to all MEMBER ORGANIZATIONS for a minimum of 12 months. As an individual MEMBER of Illumined Connections' free SERVICE, you may, if appropriate and practical, advertise your own, or an immediate family member's business, products or services in the Business Directory for other MEMBERS of your MEMBER ORGANIZATION. You agree not to advertise your business, products or services in any other section of the SERVICE. As an individual member you may also use the Classified Ads and Friend/Events Directory at no charge.

Fees and Premium Paid Services

Signing up for the SERVICE is free. PROVIDER reserves the right to charge for the SERVICE or any portion thereof, modify the pricing of, add to, or discontinue the SERVICE or any portion thereof without prior notice.

Although the primary services mentioned above are free for a minimum of 12 months, there is a one-time fee that is required for SERVICE to continue after the free 12-month period. The optional MEMBER paid display ads and other paid premium services are designed to help the MEMBER ORGANIZATION meet this one-time revenue requirement.

Illumined Connections offers fee-based premium services. If a MEMBER elects to use a premium service, the MEMBER agrees to pay the applicable fees and abide by any additional requirements or rules associated with that premium service.

As an individual MEMBER with an appropriate business, you are entitled to apply for the limited amount of display ad space on the various directories and pages of the SERVICE. To encourage MEMBER-to-MEMBER commerce, MEMBERS will have the first choice of the limited amount of display ad space for the applicable fees. This display ad space will be available on a "first come, first served" basis and sold as the premium service that it is. In the interest of variety and multiple MEMBER participation, a twelve (12) month display ad time limit will be used. Ads will be placed in the order they are received by the PROVIDER. If there are more ads than available ad space, MEMBER ads will be placed on a waiting list for the next available ad space.

MEMBERS have first preference in posting display ads on their own ORGANIZATION'S NETWORK. If, after 30 days after an organization becomes a MEMBER ORGANIZATION, there are not sufficient MEMBER ads to fill all of the available display ad spaces, the PROVIDER will have the option to offer these spaces to other Illumined Connections MEGANETWORK MEMBERS, or non-MEMBERS or ad-server services like GoogleAds or AdBright ads.

Other premium services may be available to MEMBERS other than business advertising. MEMBERS who wish these services are welcome to pay the applicable fees for the use of these premium services which may include discounts on memberships, subscriptions or other special privileges and services.

Posting Content

You agree not to post or make available any content or code for which you do not have sufficient rights to post or make available.

You also agree not to post, email, or otherwise make available any content or code that:

• is unlawful, harmful, threatening, abusive, harassing, defamatory, libelous, invasive of another's privacy, or harms minors in any way

• harasses, degrades, intimidates or is hateful toward an individual or group of individuals

• impersonates an Illumined Connections employee or USER or anyone else, or falsely states or otherwise misrepresents your affiliation with a person or entity

• includes personal or identifying information about another person without that person's explicit consent

• is false, deceptive, misleading, deceitful, or constitutes a "bait and switch" scheme

• infringes any patent, trademark, trade secret, copyright, servicemark, or other proprietary rights of any party, or content that you do not have a right to make available under any law or under contractual or fiduciary relationships

• creates, sends, or enables anything that constitutes or contains "chain letters," "pyramid schemes," or any advertisement that you are prohibited by law from sending

• constitutes or contains any form of advertising or solicitation if (1) posted in content; or (2) emailed to MEMBERS who have requested not to be contacted about other services, products or commercial interests

• advertises any illegal services or the sale of any items the sale of which is prohibited or restricted by applicable law, including without limitation items the sale of which is prohibited or regulated by law

• contains software viruses or any other computer code, files, or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment

• disrupts the normal flow of dialogue with an excessive number of messages (flooding attack) to the Illumined Connections SERVICE, or that otherwise negatively affects other USERS' ability to use the Illumined Connections SERVICE

• employs misleading email or IP addresses, or forged headers or otherwise manipulated identifiers in order to disguise the origin of content transmitted through the Illumined Connections SERVICE

Additionally, you agree not to:

• "stalk" or otherwise harass anyone

• collect personal data about other USERS for commercial or unlawful purposes

• use automated means, including spiders, robots, crawlers, data mining tools, or similar devices to download data from Social Networks and the Illumined Connections SERVICE except for Internet search engines (e.g. Google) and non-commercial public archives (e.g. archive.org) that comply with our robots.txt file, or "well-behaved" web services/RSS/Atom clients. We reserve the right to define what "well-behaved." means

• post non-local or otherwise irrelevant content, repeatedly post the same or similar content or otherwise impose an unreasonable or disproportionately large load on Illumined Connections' infrastructure

• attempt to gain unauthorized access to Illumined Connections' computer systems or engage in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of, the Illumined Connections SERVICE

• develop, invoke, or utilize any code to disrupt or diminish the quality of, interfere with the performance of, or impair the functionality of the Illumined Connections SERVICE or any Network

Spam is Prohibited and Causes Damage; Spam Filtering Technology

Illumined Connections prohibits the use of the Illumined Connections SERVICE in any manner associated with the transmission, distribution or delivery of any unsolicited bulk or unsolicited commercial email ("spam"). You may not use any Illumined Connections SERVICE to send spam. You also may not deliver spam or cause spam to be delivered to any of Illumined Connections' SERVICES or Illumined Connections customers.

In addition, email sent, or caused to be sent, to or through the Illumined Connections' SERVICES may not:

• use or contain invalid or forged headers

• use or contain invalid or non-existent domain names

• employ any technique to otherwise misrepresent, hide or obscure any information in identifying the point of origin or the transmission path

• use other means of deceptive addressing

• use a third party's Internet domain name, or be relayed from or through a third party's equipment, without permission of the third party

• contain false or misleading information in the subject line or otherwise contain false or misleading content

• fail to comply with additional technical standards described below

• otherwise violate Illumined Connections' Terms of Use

Illumined Connections does not authorize the harvesting, mining, or collection of email addresses or other information from or through the Illumined Connections SERVICES.

Illumined Connections does not permit or authorize others to use the ILLUMINED CONNECTIONS SERVICES to collect, compile or obtain any information about its customers or subscribers, including but not limited to subscriber email addresses. All ILLUMINED CONNECTIONS SERVICES' information about its customers or subscribers is ILLUMINED CONNECTIONS' confidential and proprietary information.

ILLUMINED CONNECTIONS forbids any attempt to use the ILLUMINED CONNECTIONS SERVICES in a manner that could damage, disable, overburden or impair any aspect of any of the ILLUMINED CONNECTIONS SERVICES, or that could interfere with any other party's use and enjoyment of any ILLUMINED CONNECTIONS Service.

If ILLUMINED CONNECTIONS believes that unauthorized or improper use is being made of any ILLUMINED CONNECTIONS SERVICE, it may, without notice, take such action as it, in its sole discretion, deems appropriate, including blocking messages from a particular Internet domain, mail server or IP address.

ILLUMINED CONNECTIONS may immediately terminate any account on any ILLUMINED CONNECTIONS SERVICE it determines, in its sole discretion, is transmitting or is otherwise connected with any email that violates this policy.

Nothing in this policy is intended to grant any right to transmit or send email to, or through, the ILLUMINED CONNECTIONS SERVICES. Failure to enforce this policy in every instance does not amount to a waiver of ILLUMINED CONNECTIONS rights.

Unauthorized use of the ILLUMINED CONNECTIONS SERVICES in connection with the transmission of unsolicited email, including the transmission of email in violation of this policy, may result in civil, criminal, or administrative penalties against the sender and those assisting the sender.

Monitoring and Enforcement

We don't guarantee the accuracy, integrity or quality of the content or activity of the posts available thru this Service. We have the right to monitor activity and content associated with the SERVICE. However, we are not obligated to do so. Because community standards vary and individuals sometimes choose not to comply with our policies and practices, in the process of using our Web site, you may be exposed to content that you find offensive or objectionable. You can contact the MEMBER ORGANIZATION to let them know of content that you find objectionable. We may investigate the complaints and violations of our policies that come to our attention and take any action that we believe is appropriate, including, but not limited to issuing warnings, removing the content, or terminating accounts and/or subscriptions. However, because situations and interpretations vary, we also reserve the right not to take any action. Please remember that you can always choose to refrain from using any part of the SERVICE that may expose you to something with which you are uncomfortable. Under no circumstances will we be liable in any way for any content, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of, access to, or denial of access to any content on the Web site.

Indemnification

You agree to indemnify and hold Illumined Connections, ("SERVICE PROVIDER"), its officers, directors, employees, agents, sponsors, partners, and/or other co-branders and affiliates harmless from and against any claims and expenses including, without limitation, reasonable attorney's fees and court costs, (collectively referred to as "claims" arising out of or related to your breach, whether directly by you or through a third party) of any of the terms and conditions of use set forth in this Agreement, except to the extent such claims directly result from Illumined Connections' own negligence. The foregoing indemnification shall survive any termination of Illumined Connections SERVICES provided to you.

Disclaimer of Warranties

You acknowledge and agree that by using the SERVICE, you may be exposed to content that is offensive, indecent, or objectionable. You further acknowledge and agree that the SERVICE and the content may contain errors or omissions. You acknowledge and agree that Illumined Connections does not screen or review published content on the SERVICE to determine whether it contains false or defamatory material or material which is offensive, indecent, objectionable, or which contains errors or omissions. Under no circumstances will Illumined Connections be liable in any way for any of YOUR CONTENT or any of YOUR USER'S CONTENT, including, but not limited to, for any defamation, falsehoods, errors, or omissions in any such content, or for any loss or damage of any kind incurred as a result of the use or publication of any such content posted, emailed, or otherwise transmitted via the SERVICE. Illumined Connections does not guarantee that any content will be to your satisfaction.

ILLUMINED CONNECTIONS AND ITS LICENSORS MAKE NO REPRESENTATION, WARRANTY, OR GUARANTY AS TO THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY, TRUTH, AVAILABILITY, ACCURACY, OR COMPLETENESS OF THE SERVICE OR ANY CONTENT. ILLUMINED CONNECTIONS AND ITS LICENSORS DO NOT REPRESENT OR WARRANT THAT (A) THE USE OF THE SERVICE WILL BE SECURE, TIMELY, UNINTERRUPTED, OR ERROR-FREE OR OPERATE IN COMBINATION WITH ANY OTHER HARDWARE, SOFTWARE, SYSTEM, OR DATA, (B) THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS, (C) ANY STORED DATA WILL BE ACCURATE OR RELIABLE, (D) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS, (E) ERRORS OR DEFECTS WILL BE CORRECTED, OR (F) THE SERVICE OR THE SERVER(S) THAT MAKE THE SERVICE AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THE SERVICE AND ALL CONTENT ARE PROVIDED TO YOU STRICTLY ON AN "AS IS" BASIS. ILLUMINED CONNECTIONS AND ITS LICENSORS HEREBY DISCLAIM (TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW) ALL CONDITIONS, REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF THIRD PARTY RIGHTS.

ILLUMINED CONNECTIONS' SERVICES MAY BE SUBJECT TO LIMITATIONS, DELAYS, AND OTHER PROBLEMS INHERENT IN THE USE OF THE INTERNET AND ELECTRONIC COMMUNICATIONS. ILLUMINED CONNECTIONS IS NOT RESPONSIBLE FOR ANY DELAYS, DELIVERY FAILURES, OR OTHER DAMAGE RESULTING FROM SUCH PROBLEMS.YOUR USE OF THE WEB SITE IS ENTIRELY AT YOUR SOLE RISK. ILLUMINED CONNECTIONS AND ITS PARENTS, SUBSIDIARIES AND AFFILIATES, AND THEIR RESPECTIVE OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, LICENSORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES OR LOSSES (INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES), WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, WHICH YOU MAY INCUR IN CONNECTION WITH THE USE OF, OR INABILITY TO USE, THE WEB SITE, EVEN IF ILLUMINED CONNECTIONS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSS. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, AND AS A CONSEQUENCE SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Force Majeure

In no event shall Illumined Connections incur any liability to you or any of YOUR USERS on account of any loss or damage resulting from any delay or failure to perform all or any part of this Agreement to the extent such delay or failure is caused by events, occurrences, or causes beyond the control and without negligence of Illumined Connections, including by not limited to acts of God, strikes, riots, acts of war, terrorism, lockouts, earthquakes, fires, and explosions.

Copyright Infringement Policy

In compliance with the Digital Millennium Copyright Act (DMCA), Illumined Connections has established the procedure outlined below to address alleged copyright infringement on the Web site. Illumined Connections, in its sole discretion, reserves the right to refuse additional content from members who have posted allegedly infringing material, and/or delete the material, or to terminate such MEMBERS' accounts.

After receiving a notification, Illumined Connections will process and investigate the notification and will take appropriate actions under the DMCA and other applicable intellectual property laws. Upon receipt of a notification that complies or substantially complies with the DMCA (as set forth above), Illumined Connections will act expeditiously to remove or disable access to any material claimed to be infringing or claimed to be the subject of infringing activity, and will act expeditiously to remove or disable access to any reference or link to material or activity that is claimed to be infringing. Illumined Connections will promptly take reasonable steps to notify the member that is the subject of the notification that it has removed or disabled access to such material.

If you are subject to a notification, you may provide us with a counter notification by providing our Designated Copyright Agent the following information in writing:

• your physical or electronic signature

• identification of the material that has been removed or to which access has been disabled and the location at which the material appeared before it was removed or access to it was disabled

• a statement under penalty of perjury that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification of the material to be removed or disabled

• your name, address, and telephone number, and a statement that you consent to the jurisdiction of Federal District Court for the judicial district in which your address is located, or if your address is outside of the United States, for any judicial district in which Illumined Connections may be found and that you will accept service of process from the person who provided the initial notification of alleged infringement.

Upon receipt of a proper counter notification under the DMCA (as set forth above), Illumined Connections will promptly provide the person who provided the initial notification with a copy of the counter notification and inform that person that it will replace the removed material or cease disabling access to it in ten (10) business days. Additionally, Illumined Connections will replace the removed material and cease disabling access to it not less than ten (10), nor more than fourteen (14) business days following receipt of the counter notice, unless Illumined Connections' Designated Copyright Agent first receives notice from the person who submitted the initial notification that such person has filed an action seeking a court order to restrain you from engaging in infringing activity relating to the material on the Web site.

Limitation of Liability

YOU AGREE THAT ILLUMINED CONNECTIONS SHALL NOT BE LIABLE TO YOU FOR (A) ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF ILLUMINED CONNECTIONS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM (i) THE USE OR THE INABILITY TO USE THE ILLUMINED CONNECTIONS SERVICE OR ANY CODE OR CONTENT, (ii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSION OF DATA; AND (iii) STATEMENTS OR CONDUCT OF ANY THIRD PARTY (INCLUDING ANOTHER USER) IN THE ILLUMINED CONNECTIONS SERVICE OR ANY CODE OR CONTENT; OR (B) FOR ANY DAMAGES ARISING FROM OR RELATED TO THESE TERMS IN EXCESS OF THE GREATER OF (i) $100 AND (ii) THE TOTAL AMOUNTS PAID TO ILLUMINED CONNECTIONS BY YOU IN THE THREE MONTHS IMMEDIATELY PRECEDING THE INITIAL NOTICE OF ANY CLAIM.

Updates to Terms of Service

These Terms may be updated or changed by Illumined Connections from time to time upon Illumined Connections' posting of the amended Terms on this page. If you do not agree to changes to the Terms, you must notify Illumined Connections to terminate your account.

In addition to these Terms, you will comply with all policies applicable to Illumined Connections and the Illumined Connections SERVICE, which policies are (i) either posted in the Illumined Connections SERVICE or provided to you and (ii) incorporated by reference into these Terms.

Termination; Access Restriction

Illumined Connections may terminate this Agreement, or terminate or suspend your access to the ILLUMINED CONNECTIONS Web sites at any time, with or without cause, with or without notice. Upon such termination or suspension, your right to use the ILLUMINED CONNECTIONS Web sites will immediately cease. UPON SUCH TERMINATION OR SUSPENSION, ANY INFORMATION YOU HAVE STORED ON THE ILLUMINED CONNECTIONS WEB SITES MAY NOT BE RETRIEVED LATER.

Interpreting the Agreement; Assignment

If any part of this Agreement is determined to be invalid or unenforceable pursuant to applicable law, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of this Agreement will continue in effect. ILLUMINED CONNECTIONS may assign this Agreement, in whole or in part, at any time with or without notice to you. You may not assign this Agreement, or assign, transfer or sublicense your rights, if any, in the ILLUMINED CONNECTIONS Web sites. Except as expressly stated herein, this Agreement constitutes the entire agreement between you and ILLUMINED CONNECTIONS with respect to the ILLUMINED CONNECTIONS Web sites.

Illumined Connections will have an additional 1-2 page agreement form, which will reference these Terms of Service, that supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and ILLUMINED CONNECTIONS with respect to the ILLUMINED CONNECTIONS Web sites. The section titles in the Agreement are solely used for the convenience of the parties and have no legal or contractual significance.

You Have Limited Time to Bring Your Claim

YOU AND ILLUMINED CONNECTIONS AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE ILLUMINED CONNECTIONS WEB SITES MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

California USERS are entitled to the following consumer rights information under California Civil Code Section 1789.3.

(a) Pricing Information. Current rates for using the SERVICE may be obtained by requesting the information from IlluminedConnections.com by electronic mail or by telephone. Provider reserves the right to add, delete, or change fees or charges at any time upon notice as provided in this Agreement.
